Ragan Richard practices in the area of corporate transactions, business, real estate and finance, focusing on business and finance transactions ranging from acquisitions, divestitures and mergers to corporate governance and organization for large and small companies. Ragan’s practice includes representing both banking and lending institutions and borrowers in financing transactions; restructuring debt and equity financing; drafting and negotiating contracts, leases, and servitude agreements; acquiring and developing real estate and commercial business establishments; representing owners of large franchise chains; representing owners of multifamily apartment complexes and hotels; representing utilities, agriculture marketing cooperatives, and trade associations; representing industrial clients in all phases of project development, construction and operations; drafting and enforcing subdivision and condominium restrictions for highly regulated developments; forming and structuring joint ventures; and general counseling of both established and emerging businesses; mergers, acquisitions and divestitures.
Experience
- Representation of an agricultural marketing cooperative composed of sugar cane growers, landowners and mills in its vertical integration into sugar refining through the formation, negotiation and development of Louisiana Sugar Refining, LLC, an entity owned by a large segment of the Louisiana sugar industry and Cargill, Incorporated.
- Representation of Popeyes largest franchisee in the acquisition, development, financing and operation of over 160 quick service restaurants.
- Representation of a public utility provider in the development, engineering, procurement and construction of numerous substations and switching stations throughout the southern region.
- Representation of a nonprofit organization in its public private partnership with Louisiana State University in the transformative development of over 28 acres on the LSU campus known as the Nicholson Gateway Project.
